Effective: September 20, 2026 (prospective activation or enrollment) · Version: 2026-09-20-marketplace-growth-v2
These Terms govern retail publishing services purchased from VUGA Enterprises LLC through VUGA Publishing.
1. Agreement and eligibility
These Terms are a binding agreement between you and VUGA Enterprises LLC. By creating or using an account, starting checkout, submitting materials, or purchasing a service, you agree to these Terms and the policies linked here. If you act for a company or another person, you represent that you have authority to bind that party. You must be at least 18 and legally able to contract.
2. The service
VUGA provides editorial production, review, publication placement, and related fulfillment services described in the catalog and order record. Product descriptions, included placements, target length, revision allowance, delivery target, selected publication, and other order-specific terms are part of the agreement. Every submission remains subject to editorial, factual, rights, safety, and legal review.
Payment does not guarantee publication of unlawful or policy-violating material, independent editorial endorsement, search ranking, indexation, traffic, leads, sales, media pickup, reputation outcomes, or permanent third-party availability.
3. Accounts and communications
Keep account contact information accurate and protect one-time links and active sessions. You are responsible for activity performed through your account unless you promptly report unauthorized access. You consent to electronic transaction, security, fulfillment, and policy communications. Optional marketing is governed by your separate choice and may be withdrawn.
4. Orders, payment, and taxes
Prices are shown in United States dollars. Stripe processes payment and applicable taxes. An order is accepted only when payment is confirmed and VUGA does not reject the scope. Discounts, credits, capacity, and introductory pricing are subject to their stated eligibility, expiration, and limits. You may not manipulate checkout, promotions, referrals, or payment disputes.
5. Customer materials and license
You retain ownership of material you supply. You represent that it is accurate, lawful, and authorized and that you have all rights, releases, permissions, and substantiation needed for VUGA to use it. You grant VUGA, its contractors, and the selected publications a worldwide, nonexclusive, royalty-free license to host, copy, edit, translate, adapt, create layouts and derivative editorial versions from, publish, distribute, display, archive, and promote the material as reasonably necessary to provide and document the purchased service.
You remain responsible for claims, instructions, links, and materials you approve. VUGA may require evidence, corrections, different links or disclosures, or may refuse or remove material under the Content Rules.
6. Fulfillment, review, and delay
A delivery target begins only after confirmed payment and receipt of a complete, usable brief and required assets, unless the product states otherwise. Customer delay, incomplete or unsafe files, rights questions, requested scope changes, force majeure, or third-party platform review may pause or extend performance. Included revisions address the agreed scope; new claims, materials, formats, or direction may require a new quote. VUGA may make compliance corrections without charging or consuming a revision.
7. Cancellations and refunds
The Refund and Cancellation Policy is incorporated into these Terms. Refund eligibility depends on payment status, work performed, committed inventory or costs, delivery, and applicable law. A completed and approved placement is generally nonrefundable except where law or a verified failure to deliver requires otherwise.
8. Intellectual property
Except for customer materials and third-party content, VUGA and its licensors own the service, software, designs, catalogs, marks, and editorial systems. You receive no ownership in a publication, domain, template, distribution system, or VUGA mark. You may use the delivered article or cover as expressly stated in the order, but may not remove required disclosures or falsely imply independent endorsement.
9. Suspension and termination
You may stop using the service and may request account closure. VUGA may restrict an account, cancel unperformed work, reject content, or terminate access for breach, fraud, nonpayment, security risk, abuse, or legal necessity. Terms that by nature should survive—including payment, licenses for completed publication, disclaimers, liability, indemnity, and dispute terms—survive.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND DELIVERABLES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” VUGA DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VUGA DOES NOT WARRANT UNINTERRUPTED OPERATION OR RESULTS CONTROLLED BY SEARCH ENGINES, PLATFORMS, PUBLICATIONS, OR OTHER THIRD PARTIES. NON-WAIVABLE WARRANTIES REMAIN UNAFFECTED.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VUGA AND ITS AFFILIATES, PERSONNEL, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY. THEIR AGGREGATE LIABILITY ARISING FROM AN ORDER WILL NOT EXCEED THE AMOUNT YOU PAID VUGA FOR THE AFFECTED ORDER. THESE LIMITS DO NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE LIMITED.
12. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless VUGA and its affiliates, personnel, contractors, and publications from third-party claims, damages, and reasonable costs arising from your materials, instructions, rights violations, unlawful conduct, or material breach of these Terms. VUGA will provide reasonable notice and cooperation, and you may not settle a claim in a way that admits fault or imposes obligations on an indemnified party without consent.
13. Disputes and governing law
Contact [email protected] first and allow 30 days for an informal resolution. Florida law governs these Terms, without regard to conflict-of-law rules, except that mandatory law of your residence continues to apply when it cannot be waived. Subject to any non-waivable right or eligible small-claims proceeding, disputes may be brought in a court of competent jurisdiction in Miami-Dade County, Florida.
14. General
These Terms, the linked policies, and the order record are the entire agreement for the service and replace prior discussions about that order. If they conflict, a signed agreement controls, then the order record, then these Terms, then other policies. You may not assign the agreement without VUGA's consent; VUGA may assign it with a corporate transaction or transfer of the service. Invalid provisions will be limited to the minimum necessary, and failure to enforce is not a waiver. Changes apply prospectively from the posted effective date unless law or an express agreement requires additional notice or consent.
Publication marketplace pricing and order snapshots
Marketplace policy 2026-marketplace-v2 applies prospectively to quoted orders from September 20, 2026; earlier quotes and paid orders keep their snapshotted prices. Editorial retail placements are priced by the latest verified Ahrefs DR tier: Starter USD 49 below DR 13, Established USD 79 at DR 13–20, and Professional USD 149 above DR 20; DR 40+ has no separate inventory and is priced as Professional. Crossed-out list prices (USD 99, USD 149, USD 299 by tier) are reference anchors; the sale price is the charged price. Icon publications (currently 24Fashion TV and Gossip Stone TV) are manually designated and cost USD 499 per Editorial Feature and USD 1,199 per Cover Story regardless of DR, for retail and Partner audiences alike. Cover Stories on non-Icon publications cost USD 199, USD 299 or USD 499 by the same tiers. Retail campaigns receive the least expensive exact combination of packages — editorial one USD 49, three USD 129, ten USD 390; cover one USD 199, three USD 519, ten USD 1,590 — pooled separately per product family. Package savings and upgrades are separately stated. Approved Partners pay per-placement rates at 50% below retail while qualified or a 30% retail discount at standard, with the exact per-publication schedule shown only in the authenticated portal and the account's quote; Partners never receive retail packages. Discounts and credits cannot reduce an individual placement below USD 30 (Starter and non-Icon covers), USD 47 (Established), USD 90 (Professional) or USD 299 (Icon). The price is fixed at purchase and the customer must publish within 90 days of purchase; a later tier change does not alter a purchased price. Tier downgrades take effect only after repeated stable Ahrefs refreshes. Subscribe & Save plans receive 15% off each order for the life of the plan, are billed monthly through Stripe, may be paused or cancelled at any time, and do not combine with promotion codes or welcome discounts; one discount applies per order.
NewsAdmin supplies identity and operational readiness; Sales calculates prices. A quote requires verified Ahrefs evidence no older than seven days, lasts 30 minutes, and fixes its exact publication choices and prices. A later DR refresh does not change a valid quote or an order with a Stripe session, including asynchronous payment. Replacements or changed totals need customer confirmation. Availability is operational readiness, not reserved stock or a guaranteed date slot. Each article's distribution set uses distinct publications; separate articles and campaigns may repeat purchases without a new cooldown or publication-volume cap. If a paid placement becomes unavailable, only that placement is held for a recorded replacement agreement or refund; independent work continues.
Editorial Features and Cover Stories use ordinary publication typography, article placement and bylines. Commercial origin is recorded independently of client links. A blanket visible paid-content badge is not required by this purchased presentation policy. VUGA and the publication must still assess whether the format could mislead readers and apply any legally required, clear and prominent commercial disclosure. Medical, health and financial disclaimers address separate risks and do not disclose a payment relationship. Required disclosures may not be removed. Agreed nofollow/sponsored client-link attributes remain in force. Historical purchased presentation policies remain applicable to their orders.
